Terms of Service

1. Acceptance of Terms

By accessing or using the Conitero platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Conitero is a people transport coordination platform that enables organizations to plan transport journeys, define routes and stops, manage passengers, assign guides, and track journey execution. The Service consists of a web-based control application for administrators and coordinators, and a mobile guide application for field personnel.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. Conitero is not liable for losses arising from unauthorized access to your account.

4. Subscription and Billing

Pricing

The Service is offered on a subscription basis. Pricing consists of a base platform subscription fee and per-guide fees for active guides. A guide is considered active when their account is created, they are registered on the mobile application, or they are assigned to journeys. Current pricing is displayed on our pricing page.

Billing Cycle

Subscriptions are billed monthly or annually, depending on the plan selected. Annual subscriptions are billed upfront for the full year. Per-guide charges are calculated based on the number of active guides during each billing period.

Payment and Renewal

Payments are processed through Stripe. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price Changes

We reserve the right to modify pricing with 30 days' written notice. Price changes take effect at the start of the next billing cycle following the notice period.

5. Acceptable Use

You agree to use the Service only for lawful purposes related to transport coordination. You must not:

  • Use the Service to store or transmit malicious code, or to conduct any activity that disrupts the Service
  • Attempt to gain unauthorized access to other accounts, organizations' data, or platform infrastructure
  • Use the Service in violation of applicable laws or regulations, including data protection and transport safety legislation
  • Share account credentials with unauthorized individuals or create accounts under false identities
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated systems to scrape, crawl, or extract data from the Service without our written consent

6. Data Ownership and Responsibilities

Your Data

You retain ownership of all data you input into the Service, including route definitions, passenger information, journey records, and guide data ("Your Data"). You grant Conitero a limited licence to process Your Data solely to provide and improve the Service.

Data Accuracy

You are responsible for the accuracy and legality of all data you enter into the Service, including passenger information and route details. You must ensure that you have appropriate consent and legal basis for processing any personal data entered into the platform.

Data Isolation

Each organization's data is stored in a separate, isolated database schema. We do not access Your Data except as necessary to provide the Service, respond to support requests, or comply with legal obligations.

7. Guide Accounts and Mobile Application

You are responsible for managing guide accounts within your organization. Guide accounts are subject to per-guide billing as described in Section 4. You must ensure that guides are properly trained on the use of the mobile application and that they understand their responsibilities regarding passenger data and journey execution. Guides are your agents, and you are responsible for their use of the Service.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance (with reasonable advance notice), unscheduled maintenance for critical updates, or circumstances beyond our reasonable control. We are not liable for any loss or damage arising from Service downtime.

9. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is the property of Conitero and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period. This licence does not grant you any rights to our intellectual property beyond what is necessary to use the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Conitero shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Service. Our total liability for any claims relating to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim. The Service is a coordination tool and does not replace your obligation to comply with applicable transport regulations, safety requirements, or duty of care obligations.

11. Indemnification

You agree to indemnify and hold harmless Conitero and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the subscription at any time. Cancellation by you takes effect at the end of the current billing period. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. We will retain Your Data for 90 days following termination, during which you may request an export. After this period, Your Data will be permanently deleted.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
